Terms of Use
Welcome, and thank You for choosing Adjunct (Pty) Ltd. (“Adjunct”, “we”, “us”, or “our”) and our services. These Terms of Services (“Terms”) govern Your use of our proprietary AI legal discovery platform, APIs, websites, applications, and related services (collectively, the “Services”). These Terms are a contract solely between You and Adjunct. By accessing our Services, You agree to these Terms which are enforceable like any written contract. If You are accessing the Services as part of Your work for or on behalf of a business entity, company, or otherwise similar organisation (“Enterprise”), You represent that You have legal authority to bind that Enterprise.
Please also read our Privacy Policy, which explains the collection, usage, disclosure, and processing of personal information in connection with using our Services.

Who we are
Adjunct is an AI company for knowledge workers. Our mission is to build tools that amplify the abilities of all knowledge workers. To start, we have built a sophisticated research product tailored for both South African and United Kingdom legal practitioners. We conduct research, develop software, and build the resulting products to further that goal.
The Adjunct Platform is a research, discovery and drafting tool. It is designed to be used by legal professionals and does not constitute legal advice.

Registration and Access
- Minimum Age. You must be the higher of 18 years of age or the minimum age required in Your residential jurisdiction to consent to these Terms.
- Registration. To access our Services, You must create an account (“Account”). You agree to provide correct, current, and complete information to register for an Account to use our Services. If You provide any information that is untrue, inaccurate, not current or incomplete, or we have grounds to suspect that such information is untrue, inaccurate, not current or incomplete, we may suspend or terminate Your account and refuse any and all current or future use of the Adjunct Services (or any portion thereof).
- You may not share Your Account credentials or make Your Account available to any other party, including within the same organisation.
- No other party may use Your Account credentials for any use of any of the Services and is strictly prohibited under our Usage.
- We have the right to restrict, suspend or terminate Your access with immediate effect and no refunds due per clause 11.8 if account sharing is detected.
- You agree that You are responsible for all activity occurring under Your Account, and You agree to notify us immediately at info@adjunct.co.za if You become aware of any unauthorised access to Your Account.
- If You are creating an Account on behalf of another person or Enterprise, You represent that You have the legal authority to accept these Terms on their behalf.
- Enterprise Domains. If You register an Account with an email address associated with an Enterprise’s already-existent organisation, Your Account may be linked to and be under the control of the organisation’s administrator(s). The administrator(s) may monitor and modify Your Account, including in more permissive or restrictive ways relative to Your usage of the Services.
- Provision of Access. The Services offers an AI-driven set of tools and interfaces to help users advance legal work flows more efficiently and effectively. Pursuant to Your agreement to these Terms, we grant You a limited right of access to use the Services as described in these Terms.

Content
- Subject to Your compliance with these Terms, You may upload, access, store, or submit data, software, documents, third-party services, and other content (including prompts) for use in the Services (“Input”). You, and not Adjunct, are entirely responsible for all Input that You make available through or to the Service.
- You represent and warrant that You have all rights, licences, consents and permissions necessary to provide Input to the Services and to permit Adjunct to process it in accordance with these Terms.
- You are solely responsible for the accuracy, content and legality of all Input.
- You retain all right, title and interest (including any and all intellectual property rights) in and to the Input.
- Our Services may generate and return Output based on Your Input (“Output”), which may include text, images, documents, or other data and files.
- You acknowledge that the Output is based on Your Input, and that Adjunct has no control over or responsibility for any such Input.
- Due to the nature of our Services and artificial intelligence generally, Output may not be unique and other users may receive similar Output from our Services.
- Input and Output are collectively “Content.” You are responsible for Content, including ensuring that it does not violate any applicable law or these Terms.
- Subject to Your compliance with these Terms, You may upload, access, store, or submit data, software, documents, third-party services, and other content (including prompts) for use in the Services (“Input”). You, and not Adjunct, are entirely responsible for all Input that You make available through or to the Service.

Artificial Intelligence
- Artificial intelligence (AI) and machine learning are rapidly evolving fields of study. We are constantly working to improve our Services to make them more accurate, reliable, safe, and beneficial. Given the probabilistic nature of machine learning, use of our Services may, in some situations, result in Output that does not accurately reflect real people, places, or facts.
- Accordingly, all Output is provided “as is” and with “all faults”, and Adjunct makes no representations or warranties of any kind or nature with respect to any Input or Output, including any warranties of accuracy, completeness, truthfulness, timeliness or suitability.
- You are solely responsible for Your use of Your Output created through the Service, and You assume all risks associated with Your use of any Output.
- When You use our Services You understand and agree that:
- You are solely responsible for evaluating, and bearing all risks associated with the use of any Outputs. You must review Output for accuracy, completeness and appropriateness for Your intended use, including by applying human review.
- You are solely responsible for any subsequent actions, decisions or endeavours You undertake, guidance You give, claims, documents or other materials created, issued or taken that You make on the basis of any Outputs.
- Output may not always be accurate. You should not rely on Output from our Services as a sole source of truth or factual information, or as a substitute for professional advice and judgement.
- Output results do not represent Adjunct’s views on any topics. If Output references any third party products or services, it does not mean the third party endorses or is affiliated with Adjunct.

IP Rights
- As between You and Adjunct, and to the extent permitted by applicable law, You:
- Retain Your ownership rights in Input and,
- Own the Output. We hereby assign to You all our right, title, and interest, if any, in and to Output. The Company does not represent or warrant that the Output is protectable by any intellectual property rights under applicable law. Our assignment does not extend to other users’ Output from the Services.
- We retain all rights, title, and interest in and to the Usage Data, the Services (including the skills, expertise, and methods used to provide the service), and any improvements, enhancements, or modifications thereof, including all Intellectual Property Rights.
- We and our Affiliates retain all rights, title, and interest in and to the Services and its intellectual property rights. Other than the rights expressly granted in these Terms, we do not grant You any right, title, or interest in or to our Services.
- As between You and Adjunct, and to the extent permitted by applicable law, You:

License to Third Party Providers
- Adjunct provides certain features leveraging third-party processors, including AI and deep learning platforms, algorithms, services tools and models (“AI Services”) to power Adjunct’s Services.
- By using the Service, You hereby consent and authorise Adjunct to share any Content You provide with one or more third-party providers, that may include AI Services, to complete Your request and generate Output.
- You grant us and our affiliates, and successors, a non-exclusive, worldwide, royalty-free, fully paid-up, transferable, sublicensable (through multiple tiers of direct or indirect authorisation) right to:
- Copy, display, upload, perform, distribute, store, modify, and otherwise use Your Content to provide and operate the Services and monitor Your compliance with these Terms during Your use of the Services.
- A perpetual and irrevocable license to use Your Content in an aggregated manner to improve the Services (e.g., hosting the website, generating AI content at the User’s request) and to create and monitor Usage Data.
- Adjunct will take reasonable steps to ensure that such providers process Your Content only for the purpose of providing the Services.
- Adjunct will not use Your Input or Confidential Information to train or fine-tune AI models, nor will it allow its subcontractors to do so.
- Adjunct will have no liability for the unavailability of any AI Services, or any third party’s decision to discontinue, suspend or terminate any AI Services.

Usage Restrictions
- You may access and use our Services only in strict compliance with our Terms. You agree that You are responsible for all activity under the Account through which You access and use the Services.
- You may not:
- Use our Services for any illegal, harmful, or abusive activity;
- Use the Services in a way that infringes, misappropriates, or violates any person’s rights;
- Permit any other person to access or use Your account.
- Modify, copy, lease, sell or distribute any of our Services;
- Attempt to reverse engineer or attempt to discover the source code or engineering of the underlying model and systems of the Adjunct Platform or its subcontractors, including our models, algorithms, or systems;
- Use it in a way that aids in developing products or services to compete with our Services, including any way that reproduces, modifies, translates, rents, leases, lends, resells, or creates derivative works of the Services;
- Sub-license, sell or otherwise transfer Your right to access or use the Services;
- Attempt automated means to scrape Content or proprietary data from the Adjunct Platform;
- Represent that Output was human-generated when it was not;
- Interfere with or disrupt our Services, including circumvent any rate limits or restrictions or bypass any protective measures or safety mitigations we put on our Services.
- Use in a way that knowingly permits a third party to do any of the foregoing.
- You must use the Services within reasonable usage limits.
- You agree to promptly notify us of any unauthorised use that comes to Your knowledge, and You will provide reasonable cooperation to terminate and prevent future instances of such use to the extent within Your control.
- You agree that if You breach these Usage restrictions, or if You use the Services in a way that we reasonably justify could lead to a breach of these Terms, we have the right to restrict, suspend or terminate Your access with immediate effect and no refunds due per clause 11.8.

Usage Monitoring & Feedback
- Adjunct may monitor Your usage of the Services, including IP address, device connection and usage patterns, to detect abnormal, excessive, unauthorised or suspicious activity.
- Adjunct may collect and use Usage Data to develop, improve, support, monitor and operate its Services.
- Adjunct may not share Usage Data that includes Your Confidential Information with a third party except:
- to the extent the Usage Data is aggregated and anonymised such that You cannot reasonably be identified, or
- as required by law.
- To the extent that You provide us with any Feedback, we may freely use and incorporate any Feedback into our products and services without compensation, attribution of any kind, or any other obligation to You. Adjunct may not utilise Feedback in a way that identifies, or could be used to identify, a Customer, or Customer’s Confidential Information unless express permission is granted by You.
- The Services may impose usage restrictions on specific features or settings, such as limits on access frequency, storage capacity, or other system resources.

Subscription
- We may make available to You differing Subscription plans (“Plans”). The fees, features and billing cycle applicable to Your subscription will depend on the Plan selected at the time of purchase.
- Enterprise, organisation-wide, firm-wide, custom Team or other exclusively negotiated subscriptions may be offered on an annual, multi-year or other fixed-term basis.
- Access to the platform is subject to payment being received as set out in Section 10.
- Your subscription will automatically renew at the end of each billing cycle at the then-current price for Your selected Plan, unless cancelled by You or terminated by Adjunct.
- Adjunct reserves the right at any time to change its prices and billing methods in its sole discretion. Any changes to subscription fees will become effective at the end of the current subscription period.
- We will provide at least 14 days’ advance notice before any subscription fee change takes effect.
- If You continue using the Service after the change takes effect, You agree to pay the revised subscription fee.
- In the event where access is delayed for reasons not caused by You, Adjunct may adjust the applicable subscription period accordingly.
- We may make available to You differing Subscription plans (“Plans”). The fees, features and billing cycle applicable to Your subscription will depend on the Plan selected at the time of purchase.

Payment
- You are responsible for paying all fees and applicable taxes due for access to the Service, unless we have communicated otherwise to You in official communications from an authorised representative.
- Payment must be made through:
- the online payment portal; or
- directly into Adjunct’s bank account, where expressly allowed through an invoice.
- Access to the platform is only granted once payment has been received. Payment is due as follows:
- for a new subscription, payment is due before access to the Service commences;
- for a recurring subscription, payment is due on the first day of each new subscription term, whether monthly, annual or otherwise agreed; and
- where Adjunct issues an invoice, payment is due by the date specified in that invoice. Where an invoice allows a period for payment, it does not entitle You to access the Service before payment has been received.
- By providing a payment method to Adjunct or its Payment Processor, You authorise Adjunct and/or its payment processor to charge that payment method for all fees and applicable taxes due under these Terms, including recurring subscription fees, without requiring further notice or consent.
- You are responsible for providing complete and accurate payment information. You shall immediately notify Adjunct of any change in Your payment information to maintain its completeness and accuracy.
- You agree to have sufficient funds or credit available when payment is due, including for recurring subscription fees.
- If automatic billing fails because of an issue with Adjunct’s systems or its payment processor, and not because of any act or omission by You, Adjunct may make alternative payment arrangements, including issuing an electronic invoice requiring manual payment. The invoice will state the amount payable, the billing period to which it relates, and the due date for payment subject to clause 10.3.3.
- Your failure to provide accurate payment information to Adjunct and/or our Payment Processor or our inability to collect payment constitutes Your material breach of these Terms. If payment is not received when due, Adjunct may suspend Your access to the Service until all overdue amounts have been paid.
- If payment remains outstanding for 30 days after the due date, Adjunct may terminate Your account.
- If services are suspended or terminated due to non-payment, You may request reinstatement of services by submitting a reinstatement request in writing to the company support email (info@adjunct.co.za).
- This reinstatement request will be taken under due consideration by Adjunct and if approved may require You to pay all outstanding amounts, and any reinstatement fee determined by Adjunct before access to the platform is restored.
- Except as set forth in this Agreement, all Fees due for the Services are non-refundable.

Refunds And Cancellations
- You must notify us by email on info@adjunct.co.za, if You want to cancel Your account. We will immediately stop any payment schedules on Your Payment Method upon cancellation.
- Discontinuing Your use of the Services does not cancel any active subscription, or entitle You to a refund.
- Monthly subscriptions
- Individual and Team tiers may cancel their monthly subscription at any time.
- Upon cancellation, the subscription will remain active until the end of the current billing cycle (the end of the billed month).
- No pro-rata refunds will be provided for the remaining days in the billing cycle.
- Annual Subscriptions
- If You have purchased an annual subscription, You may cancel the annual subscription within fourteen (14) days after:
- the start date of Your first annual subscription term; or
- the renewal date of a renewed annual subscription term.
- Where You cancel within this fourteen (14) day period, Your subscription will remain active until the end of the first month of that annual subscription term. Adjunct will issue a pro-rata refund for the remaining eleven (11) months, less any discounts, credits or promotional amounts applied.
- The first month of an annual subscription term is non-refundable.
- No refunds will be issued for cancellations requested more than fourteen (14) days after the start date or renewal date of the applicable annual subscription term, unless Adjunct determines otherwise in its sole discretion or applicable law requires otherwise.
- If You have purchased an annual subscription, You may cancel the annual subscription within fourteen (14) days after:
- Enterprise, Organisation and Custom Subscriptions
- No pro-rata refunds will be issued for Enterprise, organisation-wide, firm-wide, custom Team or other negotiated subscriptions, unless expressly agreed by Adjunct in writing, stated in the applicable order form, or required by applicable law.
- You may cancel the automatic renewal of a fixed-term subscription, but that cancellation will only take effect at the end of the then-current subscription term.
- Refunds (if approved) will be processed to Your original payment method within 1–15 business days, depending on Your payment institution’s processing time.
- Adjunct reserves the right to refuse or limit refund requests at its discretion to prevent abuse or excessive refund activity. This includes clients who cancel and then later reinstate their subscription more than once within a 6-month period.
- Adjunct reserves the right to charge a reinstatement fee equivalent to one month’s subscription fee, or only offer annual subscription terms going forward, to such clients.
- Adjunct will provide written notice to the client if they become subject to these repeated cancellation/reinstatement terms.
- We reserve the rights to refuse a refund if:
- You have already received a prior refund for similar products or services;
- You purchased subscriptions, or other services via promotions, coupons, or discounted pricing; or
- The refund request is made after the applicable period or relates to consumed services.
- No refund will be due, where Your account has been restricted, suspended or terminated as a result of any actual or suspected breach of any of these Terms, including abuse, misuse, fraud, unauthorised access, licence sharing or other conduct that Adjunct reasonably determines to be harmful to the Services, Adjunct, other users or any third party.
- You must notify us by email on info@adjunct.co.za, if You want to cancel Your account. We will immediately stop any payment schedules on Your Payment Method upon cancellation.

Term And Termination
- These Terms take effect when You first use the Adjunct Platform and remain in effect for as long as You access or use the Services, maintain an account, or have an active subscription with Adjunct.
- Any provisions of these Terms that by their nature are intended to survive termination, cancellation or expiry will continue to apply, including provisions relating to intellectual property, Customer Data, confidentiality, payment obligations, disclaimers, limitations of liability, indemnities, refund exclusions, governing law and dispute resolution.
- Adjunct may similarly terminate upon notice at any time and no refunds will be provided for any remaining days in the subscription, including for these reasons:
- You breached these Terms.
- Your use of our Services could cause risk or harm Adjunct, our users, or anyone else.
- We must do so to comply with the law.
- Your account has been inactive for more than 6 consecutive months.
- Upon termination, You will stop using the Services, and You will promptly return, or if instructed by us, destroy any Confidential Information.
- We may decide to discontinue our Services, but if we do, we will give You advance notice and a refund for any prepaid, unused Services.

Disclaimer of warranties
- The Adjunct Platform is provided on an as-is and as-available basis. Adjunct makes no representations or warranties of any kind, express or implied, with respect to the Adjunct Platform including warranties of merchantability, title, non-infringement, or fitness for a particular purpose, which are disclaimed.
- Without limiting the foregoing, Adjunct makes no warranty that:
- The services, the reports, drafts, Outputs or any other services or deliverables provided here under (collectively, the “materials”) will meet the requirements of You or operate in combination with any hardware, software or data not provided by Adjunct.
- The use of the Services will be uninterrupted or error-free.
- The Outputs that may be obtained from the use of the materials are wholly accurate, reliable or error-free.
- Any third-party software, services, or other products You use in connection with the Adjunct Platform (for example, Your internet browser) are subject to their own terms, and we are not responsible for such third party products.
- No oral or written information or communications given by Adjunct, its employees, or agents will increase the scope of the above warranty or create any new or additional warranties.

Limitation of liability
- In no event will either party be liable to the other party or any third party for any indirect, incidental, special, exemplary, punitive, or consequential damages, including loss of income, data, profits, revenue, or business interruption, or the cost of substitute services or other economic loss, arising out of or in connection with these Terms, and usage of the platform. This applies whether such liability arises from any claim based on contract, warranty, delict (including negligence), strict liability or otherwise, and whether or not such party has been advised of the possibility of such loss or damage.
- The material provided through or in connection with the Services is designed to provide practical and useful information on the subject matter covered. While such material may concern issues related to professional services, such content is not professional services advice. You should not act or refrain from acting on the basis of any content included on this site or in connection with the services without seeking the advice of a competent professional in the applicable subject matter.
- We expressly disclaim all liability in respect of actions taken or not taken based on any material of or in connection with the services. Adjunct’s provision of the services, the materials made available on the services and any information provided by our reference attorneys (and any other Adjunct representatives) are for general informational purposes only.
- Other than for claims based on liability which, by law, cannot be limited (for example, gross negligence and intentional misconduct), in no event will either party’s total liability to the other party or any third party for all claims in the aggregate (for damages or liability of any type) in connection with these Terms exceed the greater of the amount You paid for the service that gave rise to the claim during the 12 months before the liability arose or £250 (the “liability cap”).

Indemnity
- If You are a business or organisation, to the extent permitted by law, You will indemnify and hold harmless us, our Affiliates, and our personnel, from and against any costs, losses, liabilities, and expenses (including attorneys’ fees) from third party claims arising out of or relating to Your use of the Services, Material and Content or any violation of these Terms.

Dispute Resolution
- We would like to understand and try to address Your concerns prior to formal legal action. Before either of us files a claim against the other, we both agree to try to resolve the Dispute informally. You agree to do so by sending us notice through this email (info@adjunct.co.za). We will acknowledge receipt of the email notification.
- To be valid, You must personally sign the Notice and provide all relevant information, including a description of the claims You are asserting, the specific relief sought, and the user name, email address and phone number associated with Your account.
- The Informal Dispute Resolution process lasts 60 days and is a mandatory precondition to commencing arbitration. We also both agree to attend an individual settlement conference if either party requests one during this time.
- If we are unable to resolve a Dispute within 60 days, either of us has the right to initiate mediation processes. Any statute of limitations will be tolled during this informal resolution process.

Modifications to Terms of Use
- The Company reserves the right to modify these provisions at any time. Clients will be notified at least 15 days prior of any material changes via written communication, that includes email, or through the platform.
- Continued use of the services after any such changes shall constitute the Client’s consent to such changes.
- Notwithstanding the above, in no event may Adjunct alter the Terms in a way that meaningfully detracts from its obligations with respect to Confidential Information, Customer Data, or Customer Content as agreed to in this Agreement without express authorisation from You.

Definitions
The definitions in this section apply to these Terms. All terms in quotation marks in the body of these terms of use are also defined terms.
- “Affiliate” means any entity that directly or indirectly controls, is controlled by, or is under common control with the subject entity where “control,” for the purposes of this definition means direct or indirect ownership or control of more than 50% of the voting interests in the subject entity.
- “Account” means the unique account registered to an email address for a single user to access and use the Services.
- “Confidential Information” means all information that is identified as confidential at the time of disclosure by the Disclosing Party or reasonably should be known by the Receiving Party to be confidential or proprietary due to the nature of the information disclosed and the circumstances surrounding the disclosure. Content specific to You and Customer Data are Confidential Information.
- “Content” means Input and Output collectively.
- “Feedback” means any suggestions, enhancement requests, recommendations, corrections, or other feedback provided to Adjunct by You relating to our offerings. Feedback excludes Customer Data and Content.
- “Input” means the data, software, documents, third-party services, and other content (including prompts) uploaded, accessed, stored, or submitted by any means for the use in the Services by or on behalf of You.
- “Intellectual Property” means patents, rights to inventions, copyrights and related rights, data rights and database rights, rights to software code, domain names, trademarks, logos, and trade names, rights to goodwill and protection against passing off, design rights, rights to confidential information, and any other intellectual property rights, whether registered or unregistered.
- “Liability Cap” has the meaning set forth in Section 17.3
- “Output” means the output generated and returned by the Services, by or on behalf of You, based on the Input.
- “Services” means the Adjunct Platform and all related software, APIs, websites, applications, functionality and services made available by Adjunct at https://www.adjunct.app/, through which You provide Input and receive Output.
- “Terms” has the meaning set forth at the start of this document.
- “Usage Data” means information reflecting the access, interaction, or use of the Adjunct Platform by or on behalf of You. Usage Data does not include Content, Customer Data, Customer Confidential Information, or any information that identifies or reasonably would permit identification of any Content, Customer Data, or Customer Confidential Information.
- “You” or “Your” or “User” means either (1) in the case of an individual, the person contracting for the use of the Adjunct Platform; or (2) in the case of a legal entity, the organisation contracting for the use of the Adjunct Platform.
- “Company”, “Adjunct” or “Us” means Adjunct (Pty) Ltd.
